SRL MG Immo Verviers, a real estate company, is raising funds to finance the balance of the acquisition of the “Résidence du Prince”, a home for disabled adults in Verviers. The proceeds will also be used to finance the final renovation work carried out there. MG Immo Verviers SRL is 50% owned by François Mélotte and 50% by Ioannis Gournis, who are also shareholders in the MG Health Care group, whose Olympus Immo subsidiary built the nursing home. The construction of the center was partly financed by a bond issue organized by BeeBonds, which was fully repaid in December 2024. In line with the MG Health Care Group's strategy, once the center is built, ownership will be transferred to the Group's newly-formed sister real estate company (MG Immo Verviers), while day-to-day management will be handled by an AVIQ-accredited Group subsidiary (Verviers Santé) specializing in support for people with disabilities. The special feature of this project is the interest rate, based on the center's rental income (Certificat Locatif), since the AVIQ covers almost all the residents' rent. This reassuring, recurring element enables the project owner to pay the interest quarterly.

The group has already financed three similar projects through BeeBonds: - "Résidence du Prince" (Reimbursed in December 2024) - "Chemin de la Caracole" (Reimbursed in March 2025) - "Résidence des Closières" (Scheduled for reimbursement in July 2026) The center will be managed by Verviers Santé SRL, a subsidiary of MG Health Care, approved by AVIQ, ensuring rigorous oversight and high-quality care.

+ Garanties Afin de garantir aux obligataires le respect des engagements de l'emprunteur relativement aux obligations, et en particulier le paiement des intérêts et le remboursement à l'échéance des obligations, MG Health Care a accepté de se porter codébiteur des obligations de remboursement de MG Immo Verviers en faveur des obligataires. Les obligations en codébition concernent toutes les obligations de paiement de l’Emprunteur envers le Bénéficiaire, que ce soit pour le paiement du principal ou des intérêts ou des intérêts supplémentaires sur les Obligations, des frais, indemnisation ou autrement, en ce compris en cas de report de Date de Remboursement (telle que définie dans les Termes et Conditions).

Points of attention

+ RISKS RELATED TO DELAYED COMPLETION OF THE PROJECT The Project's risk is mainly linked to MG Immo Verviers SRL's ability to finance its loans (CBC Bank loan and bonds), and therefore indirectly linked to the ability of Verviers Santé SRL, its tenant, to pay the rent. This risk can be described as low, since Verviers Santé SRL is approved by the AVIQ, which means that residents' rent and care costs are covered by the AVIQ (Walloon institution that manages social benefits and aid for people with disabilities). A daily supplement per resident is paid by the families. Whether or not families are able to pay this supplement could nevertheless represent a loss of income for the center.

+ RISKS RELATING TO THE BONDS The Bonds are debt instruments. An investment in the Bonds involves certain risks. By subscribing for the Bonds, Investors are making a subordinated loan to the Issuer, which is obligated to pay interest quarterly and to repay principal on the maturity date. In the event of bankruptcy or default of the Issuer, Investors are subject to the risk that they may not receive, or may receive late, the amounts to which they are entitled and may lose all or part of the principal amount invested. The Bonds are also subordinated to bank loans, which means that repayment of the Bonds will be subordinated to the repayment of the bank financing obtained by the Issuer, without prejudice to the payment of interest by the Issuer at each maturity. There is therefore an increased risk that the Issuer will not be able to meet its obligations (payment of interest and/or repayment of principal) in the event of bankruptcy or default.
