The Mediport project consists of the construction of a multidisciplinary medical center for diagnosis and prevention, ideally located in Antwerp, a city with a well-developed medical infrastructure and world-renowned hospitals and research centers. The Mediport Medical Center focuses on multidisciplinary and patient-centered medical care. The center offers an integrated approach, utilizing state-of-the-art technology and providing rapid diagnosis in a preventive care environment. The project is being developed by an experienced team, led by Zvi Donat, a seasoned CEO who has already developed several similar medical centers in the United States and Israel.

+ A multidisciplinary medical center that meets the needs of the Belgian market The Mediport Medical Center offers cardiology, radiology, urology, gynecology, MSK, and pulmonology services. Other specializations will be offered in collaboration with various paramedical services. Mediport has been designed to meet the needs of the Belgian market and offers: - a preventive approach allowing a healthier lifestyle and a longer life - a multidisciplinary set of services allowing an integration of care - of the distance between the patient and the provider by eliminating administrative constraints Mediport will partner with doctors from various hospitals with the aim of developing the center's patient-base.

+ Rapid diagnosis with state-of-the-art equipment A key feature of Mediport is its expedited cardiology process. The center features a state-of-the-art CardioGraph, the world's first cardiovascular CT system to make non-invasive cardiovascular imaging more affordable. Through a partnership with GE Healthcare, the global leader in medical technology, Mediport has access to top-of-the-line medical equipment, IT services, and reporting. This enables rapid diagnosis and decision-making, putting the patient's health first.

+ An experienced team Mediport's founder, Zvi Donat, is an experienced CEO and investor in the medical sector. He has already founded several successful multidisciplinary medical centers in the United States (""Coastal Kids"") and Israel (""Sharp Plus""). For the Mediport Medical Center project, Mr. Donat is surrounded by a team of experts from the healthcare, financial and entrepreneurial sectors.

Points of attention

+ RISKS RELATED TO DELAYED COMPLETION OF REAL ESTATE PROJECTS The developers working on real estate projects may encounter certain problems during construction or renovation (e.g., longer delays to obtain permits, failure of a subcontractor, inclement weather, defects, price and availability of materials...). Such issues may result in a delay in the completion of marketed real estate projects and cause a delay in the effectiveness of rental management contracts signed with the Issuer.

+ RISKS RELATING TO THE BONDS The Bonds are debt instruments. An investment in the Bonds involves certain risks. By subscribing for the Bonds, Investors are making a subordinated loan to the Issuer, which is obligated to pay interest annually and to repay principal on the maturity date. In the event of bankruptcy or default of the Issuer, Investors are subject to the risk that they may not receive, or may receive late, the amounts to which they are entitled and may lose all or part of the principal amount invested. The Bonds are also subordinated to bank loans, which means that repayment of the Bonds will be subordinated to the repayment of the bank financing obtained by the Issuer, without prejudice to the payment of interest by the Issuer at each maturity. There is therefore an increased risk that the Issuer will not be able to meet its obligations (payment of interest and/or repayment of principal) in the event of bankruptcy or default.
