The Cubix III project involves the development of two residential projects located in highly attractive Brussels neighborhoods: Saint-Gilles and Evere. Alsemberg / Garibaldi (Saint-Gilles): Renovation of two buildings to include 2 commercial ground floors, 3 two-bedroom duplexes, and a studio, along with the construction of two passive houses with gardens in a lively and well-connected neighborhood. The renovation will preserve the historical character of the buildings as much as possible. Heating will be provided by heat pumps (HP) combined with solar panels. Rainwater tanks will be installed to supply toilets, laundry rooms, and garden taps. Particular attention will be given to thermal and acoustic insulation. Enlarged rear windows will optimize natural light. The Garibaldi section involves the complete demolition of the current warehouse and the construction of two new 220 m² passive houses, each with a garden. The ground floors will be equipped with bicycle storage areas, promoting soft mobility within the neighborhood. Energy supply will also be ensured by HPs and solar panels. Natural light intake will be a key architectural feature. Van Perck (Evere): Construction of a small building with six apartments and a professional space, plus the enhancement of 36 existing garages in a quiet, well-connected residential neighborhood. The project combines renovation of characterful buildings, new passive constructions, garage optimization, and a sustainable approach—offering a product fully aligned with current market demand. The scarcity of available properties in these areas, combined with prudent sales pricing, strengthens the appreciation potential. The project is developed by Cubix SRL, founded by David Malfait and David Nagel, a Brussels-based real estate developer active since 2015, specializing in human-scale projects that blend quality renovation, sustainable construction, and tight cost control. The company has already financed and repaid two projects through BeeBonds.

+ Declarations and securities External (non-bank) partners and shareholders (""Family Friends"") are leaving at least EUR 850k in the company (as long-term or other liabilities), subordinated to the BeeBonds bond repayment. The shareholders commit to a capital increase to restore positive equity. The shareholders commit to covering all costs, financial charges, and any overruns (standard cost overrun and cash deficiency clauses). Funds raised from the bond issuance will be used exclusively to finance construction work on the two projects involved. The shareholders commit to early repayment of half the bond after the sale of each project (following repayment of any bank loans).

Points of attention

+ Project-related risks The developers working on real estate projects may encounter certain problems during construction or renovation (e.g., longer delays to obtain permits, failure of a subcontractor, inclement weather, defects, price and availability of materials...). Such issues may result in a delay in the completion of marketed real estate projects and cause a delay in the effectiveness of rental management contracts signed with the Issuer.

+ RISKS RELATING TO THE BONDS The Bonds are debt instruments. An investment in the Bonds involves certain risks. By subscribing for the Bonds, Investors are making a subordinated loan to the Issuer, which is obligated to pay interest quarterly and to repay principal on the maturity date. In the event of bankruptcy or default of the Issuer, Investors are subject to the risk that they may not receive, or may receive late, the amounts to which they are entitled and may lose all or part of the principal amount invested. The Bonds are also subordinated to bank loans, which means that repayment of the Bonds will be subordinated to the repayment of the bank financing obtained by the Issuer, without prejudice to the payment of interest by the Issuer at each maturity. There is therefore an increased risk that the Issuer will not be able to meet its obligations (payment of interest and/or repayment of principal) in the event of bankruptcy or default.
