The 'Arenal Beach' project consists of the construction of a magnificent beachfront real estate complex of 32 luxury apartment in Menorca. The island is renowned for its beautiful beaches and unspoiled nature yet remains free of mass tourism. Arenal Beach offers a discreet and functional luxury concept, a rarity on the island. The unique 1, 2 and 3 bedroom apartments, ranging in size from 100 to 260 square metres, with large terraces with ocean view and all the comforts and facilities for year-round living: spa, jacuzzi, gym, children's play area, and a fully equipped business centre. Arenal Beach is carried out by Royal Balconies of Menorca (a subsidiary of the Luxembourg group Azur Estates/Arnor), a real estate development and investment company with more than 40 years of experience and 44 projects completed successfully. The company specializes in the development of exclusive, sustainable projects characterized by their quality and excellent location. This bond issue offers a gross annual yield of 10% and is secured by numerous guarantees, the mechanisms of which are detailed in the Descriptive Note and the Information Note.

+ An ideal location Arenal Beach is located on the island of Menorca, 200 meters from 'Playa Arenal d'en Castell' beach. Known for its calm turquoise waters, white beaches and unspoiled nature, the island enjoys a climate similar to that of southern France. It is easily accessible via its international airport and by ferry. Despite its ideal environment, the island of Menorca remains untouched by mass tourism.

+ The project leaders' experience The Arenal Beach project is lead by Royal Baconies of Menorca SL, a subsidiary of the Azur Estates group, a real estate company with headquarters in Luxembourg. Azur Estates has been developing residential projects in the Mediterranean for many years. This has allowed them to establish their position in the sector, with a focus on the high-end segment. Their have developed a strong network skilled and reputable partners, allowing them to build teams that best meet the needs of the projects. The team is led by : - Roberto Bergonzi, Chairman and Founding CEO of Azur Estates Roberto has over 40 years of experience in real estate investment and development. He has overseen the construction of more than 3,000 properties, mainly in Spain but also in France, Italy and Canada. - Alfredo Pérez Garcia, Managing Director Alfredo is responsible for developing the group's expansion strategy along the Mediterranean coast and in the Balearic Islands. Prior to joining Azur Estates in 2016, Alfredo was a member of the firm Garrigues Abogados y Asesores Tributarios in Valencia and Alicante as a tax and legal advisor for 23 years. During 10 of those 23 years, Roberto was a Tax Partner specializing in mergers, acquisitions, restructurings and spin-offs, with specific expertise in the internationalization of Spanish companies.

+ A growing real estate market The island of Menorca offers the possibility of acquiring superior real estate at an affordable price. Following the COVID crisis, the already robust Menorcan real estate market experienced strong growth (+ 66% of transactions between 2019 and 2021). The authorities on the island of Menorca are drastically limiting construction, particularly on the seafront, in order to preserve the island's natural beauty. In addition, building permits allowing vacation rentals are restricted. These measures have limited the supply of new real estate on the island, ensuring a strong sales price for these properties.

+ Guarantees On the date of issue, investors will have a second-rank guarantee on 100% of the shares in Royal Balconies of Menorca, which will become first-rank on 100% of the same shares upon redemption of the first bond issue. On the date of issue, investors will have a second-rank guarantee on the sale price of the apartments, becoming a first-rank guarantee on the same sale price as soon as the first bond issue is redeemed. The payment of deposits and the purchase price on delivery by the buyers is guaranteed to the investors.

Points of attention

+ RISKS RELATED TO DELAYED COMPLETION OF REAL ESTATE PROJECTS: Developers who develop real estate projects may encounter certain problems during construction or renovation (e.g., extension of the time required to obtain permits, failure of a subcontractor, bad weather, defects, price and availability of materials...). Such problems may result in a delay in the completion of marketed real estate projects and cause a delay in the effectiveness of the rental management contracts signed with the Issuer.

+ RISKS RELATING TO THE BONDS The Bonds are debt instruments. An investment in the Bonds involves certain risks. By subscribing for the Bonds, Investors are making a subordinated loan to the Issuer, which is obligated to pay interest annually and to repay principal on the maturity date. In the event of bankruptcy or default of the Issuer, Investors are subject to the risk that they may not receive, or may receive late, the amounts to which they are entitled and may lose all or part of the principal amount invested. The Bonds are also subordinated to bank loans, which means that repayment of the Bonds will be subordinated to the repayment of the bank financing obtained by the Issuer, without prejudice to the payment of interest by the Issuer at each maturity. There is therefore an increased risk that the Issuer will not be able to meet its obligations (payment of interest and/or repayment of principal) in the event of bankruptcy or default.
